The Senior Corporate Paralegal will support the legal and compliance team in all aspects of corporate governance, corporate records and filings and other legal and compliance activities. This position will play a key role in supporting legal and operational aspects for the organization through engagement with internal teams and external partners on a variety of assignments. This role requires a high level of organization, discretion, and the ability to manage multiple priorities in a fast-paced environment. The Sr. Corporate Paralegal will report to the Deputy General Counsel.
Key Responsibilities:
Assist attorney in the preparation and review of Board and committee materials, including agendas, minutes, resolutions and written consents, and maintain corporate minute books
Assist with other corporate governance matters, including compliance with Committee charters and governance policies, collection and coordination of Board and Committee evaluations and director and officer questionnaires
Assist with stockholder meetings, including preparing written materials and coordinating with Transfer Agent
Proactively identify and resolve routine and moderately complex legal matters in area of responsibility with minimal supervision
Complete ad-hoc and special corporate and compliance projects as requested/required to support a growing team and evolving needs, including:
-Assist attorney in the management of the contracts database
-Assist with public filings, including section 16 filings
-Collection of supporting documents for IP prosecution
5+ years of corporate paralegal experience, with a large law firm and/or publicly traded company
Knowledge of corporate governance best practices and annual compliance; prior experience working on Board materials preferred
Strong project management skills, keen attention to detail and ability to prioritize multiple projects and priorities
Ability to interact and communicate effectively internally with individuals from multiple departments at all levels of the organization and externally with multiple stakeholders
Strong computer skills and document preparation (e.g., Word, PowerPoint, Outlook, Excel)
Excellent document drafting and proofreading skills, with high attention to detail
Excellent analytical and problem-solving skills
Unquestioned discretion handling sensitive and confidential information
Ability to thrive in a fast-paced environment
Experience working within a contract management system
Notary license preferred
Remote position, Northeast US based with some travel required
